Annemieke specializes in business law, in particular M&A, corporate advice and the general law of obligations. She supervises M&A procedures (value of between 1 million and 65 million euros) from start to finish, i.e. from the NDA, via the letter of intent to the due diligence (questionnaire, data room rules, due diligence audit, reports and consequences for the transaction) and drafting the necessary transaction documents such as APA, SPA, guarantees, loans, escrow agreements, shareholder agreements, disclosure letters etc. Annemieke worked on M&A deals (both asset- and share deals) in different sectors, such as retail, (luxury) consumer products, green energy, software/ICT, printed media, childcare, contracting works and automotive.
Besides her specific M&A work, Annemieke advises on complex participation structures and company law in general and drafts all kinds of commercial contracts (special contracts such as procurement, general conditions, sale, distribution, cooperation and service contracts etc.) and conducts negotiations on these contracts. Annemieke litigates on national and international commercial contract disputes as well director’s liability (based on tort).
Thanks to her extensive transaction experience and work as a company lawyer, she is extremely knowledgeable about internal processes and interests. Annemieke is used to working closely with and is used to manage corporate finance advisers, accountants, tax lawyers and civil-law notaries. She closely monitors the overall objectives while streamlining and filtering all the information so that the client receives an end product which is helpful and useful to him. Hands-on, practical and with an eye for legal detail.
Before joining Vlaskamp Advocaten in 2009, Annemieke worked for eighteen months as a salaried lawyer with Greif Inc. Before then, she was a lawyer with Dijkstra Voermans Advocatuur and Nauta Dutilh N.V. (Rotterdam). Annemieke graduated cum laude from Utrecht University in two courses of study and went on to complete a postdoctoral course at the Ruprecht-Karls University in Heidelberg, Germany. She passed the Grotius course on National and International Contracts, also cum laude, and studied at Nijenrode (Business course) and the M&A Academy (Reed Elsevier). Annemieke speaks fluent English and German and is a member of the Dutch Corporate Finance Association. Annemieke regularly gives guest lectures and courses on the subject of acquisitions, corporate law and general contract law.
